His article #MeToo Continues: Why Sexual Harassment Is a Growing Litigation Risk discusses how corporations and their officers and directors can get embroiled in compliance-related, securities fraud cases by motivated investors trying to capitalize on the #MeToo movement. As Rosen states, these litigants contend that as shareholders they have been injured by certain public companies whose written compliance materials contain material misrepresentations in their anti-discrimination and anti-harassment policies.
While many cases are tossed out by the courts and are characterized as “puffery,” Rosen shares exceptions to this and identifies takeaways that corporations and their executive management should consider to manage risk.
