Kleinberg Kaplan Announces Promotions

NEW YORK; January 11, 2019 – Premier boutique law firm Kleinberg Kaplan announces promotions of four lawyers – three to partner and one to senior counsel. Maurice Collada III, Neil Dubnoff, and Uri Rosenwasser were named partners and Dorothy Cannetti was named senior counsel, all effective January 1, 2019.
New York-based Kleinberg Kaplan advises many leading hedge and private equity funds, sophisticated business ventures, prominent real estate operators, and family offices.

The four attorneys are:
Dorothy Cannetti
Dorothy Cannetti handles all aspects of estate and tax planning, estate and trust administration, and litigation matters in Surrogate’s Court.
In her planning practice, Dorothy helps individuals and families establish and implement their wealth-transfer plans to carry out their intentions, but also to avoid adverse tax and legal consequences.
For trust and estate administration matters, Dorothy handles the required Surrogate’s Court proceedings and advises fiduciaries regarding estate, gift, generation-skipping transfer, and income tax issues. She also supervises the day-to-day administration of estates and trusts and oversees the preparation of estate, gift, and income tax returns and various other types of required filings.
As a part of her Surrogate’s Court litigation practice, Dorothy assists in the representation of fiduciaries and beneficiaries. Dorothy has participated in various types of proceedings including will contests, contested judicial accountings, and miscellaneous proceedings.
Dorothy is a graduate of New York Law School, magna cum laude, where she served as Senior Editor on the New York Law School Law Review and was a John Marshall Harlan Scholar. She received her B.S., summa cum laude, in Social Welfare from the University at Albany, State University of New York.
Maurice Collada III
Maurice Collada specializes in advising both start-up and seasoned private investment managers in all aspects of their business, including formation, structuring and on-going operation of private investment funds and managed accounts of all types. Maurice is also experienced with SEC registration and on-going Advisers Act compliance.
Maurice also has deep experience with insurance dedicated funds, including launching these specialized investment products, creating related compliance policies and procedures and negotiating with the insurance carriers that invest in these vehicles.
Maurice was named by Super Lawyers magazine as a New York Metro “Rising Star” in 2017 and 2018. He is a graduate of Fordham University School of Law, magna cum laude, where he was a member of the Fordham Law Review. He received a B.S. in Communication from University of Miami.
Neil Dubnoff
Neil Dubnoff focuses his practice on the tax aspects of onshore and offshore investment funds and their investment managers. Neil’s clients include investment managers with multiple billions of dollars of assets under management. He regularly advises on tax issues related to fund formation, operations and investments. His experience also includes advising on corporate and partnership tax matters, including mergers and acquisitions, partnership transactions, real estate transactions, financings and securitizations, as well as tax controversy. Neil regularly advises private investment fund clients with respect to their offering documents and investments, capital markets and structured products. Neil has extensive experience counseling clients on Foreign Account Tax Compliance Act (FATCA) issues.
Neil has been recognized as a “Rising Star” by New York Super Lawyers. He received his J.D., summa cum laude, from Tulane University Law School, where he was a member of the Tulane Law Review, and his B.A. from Cornell University.
Uri Rosenwasser
Uri Rosenwasser focuses his practice on the asset management industry and advises managers and investors of domestic and offshore hedge funds, private equity funds and hybrid funds. With respect to private investment funds, he handles all aspects of their formation, documentation and ongoing operations. Some of the key issues Uri regularly advises on include: fund structuring, offering documents, marketing materials, “market” terms, seed and strategic deals and side letters and managed account agreements.
Uri regularly provides clients with guidance on general corporate matters relating to private funds’ service providers, marketers and consultants. Uri’s practice also includes guiding funds on compliance and regulatory matters. In addition, he also provides assistance with management company operating agreements, executive compensation plans, and employment and termination agreements.
Uri is fluent in Hebrew and leads the firm’s efforts in representing Israel-based private investment fund managers and other entrepreneurs on a range of issues relating to formation and US compliance. He received his law degree from The George Washington University Law School (with Honors) and his undergraduate degree from Touro College.
