Norris Nissim is a partner in the Private Funds & Investment Management practice, where he draws on more than three decades of senior in-house experience while serving as a true outside general counsel to private fund sponsors, emerging managers, family offices and institutional investors. His practice spans the full lifecycle of an investment management business: fund formation and structuring, management company governance and GP economics, regulatory compliance, day-to-day operations, trading and market-conduct matters, and strategic transactions. Norris also counsels clients on complex securities law issues, including Sections 13 and 16 reporting, beneficial ownership analysis, insider trading and MNPI protocols, short selling and Regulation SHO compliance, and Regulation M considerations.

He regularly advises on capital markets transactions and structured investments — PIPEs, convertible securities, preferred equity, private placements and bespoke credit arrangements — as well as special situations involving distressed debt, rescue financings, exchange offers, recapitalizations, and secondary loan trades.

Prior to joining the Firm, Norris served as General Counsel and Chief Compliance Officer at Luxor Capital Group, a prominent global alternative asset manager and longtime Kleinberg Kaplan client, where he oversaw all legal and compliance matters across multiple fund strategies.
