Greg Kramer practices primarily in the areas of mergers and acquisitions, securities law, purchase and sale of distressed bank debt and general corporate law. He represents hedge funds and other investors in a wide variety of corporate and securities transactions. Greg has also represented privately held and publicly traded companies, both domestic and foreign, in a wide variety of industries, including telecommunications, alternative energy and pharmaceuticals. In addition, he has represented special purpose acquisition companies (SPACs). His principal experience has been in private placements, public offerings, mergers and acquisitions, general 1933 and 1934 Act matters and the purchase and sale of distressed bank debt, as well as in general business matters such as employment and consulting agreements, joint ventures, confidentiality agreements and commercial matters. Greg has counseled clients on matters of corporate law, fiduciary duties, executive compensation, Sarbanes-Oxley and exchange rules.
