James Rapp represents clients on a variety of general corporate and securities matters. James advises hedge funds in shareholder activist campaigns, having represented funds in proxy campaigns seeking director representation, opposing strategic corporate transactions as well as in other activist battles. In addition, James advises hedge funds, private equity funds and other financial institutions in all aspects of Section 13 and Section 16 issues and related filings as well as in connection with the purchase and sale of bank debt. He also reviews and drafts confidentiality agreements and deals with employment issues such as drafting employment agreements and termination/separation agreements for executives. James represents clients in PIPE transactions and mergers and acquisitions, as well as various corporations and private individuals in other general corporate and governance matters.
