Fred Kleinberg, a founding member of the firm, chairs the firm's Executive Employment and Compensation Group. He represents privately-owned businesses, Fortune 500 companies and senior executives in a variety of executive employment matters such as compensation, incentive bonuses, stock option plans, restricted stock plans, restrictive covenants, severance provisions, and severance agreements.
Fred also serves as general counsel to numerous privately-owned businesses including hedge funds and their managers. He advises these clients on restructurings, incentive compensation programs, deferred compensation arrangements such as deferred bonus plans and KEYSOPs, executive employment agreements, plans to give equity and quasi-equity to key employees, shareholder agreements, formation and structuring of entities, compliance issues, and transactional investments.
Fred advises clients concerning joint venture, shareholder and licensing agreements, financing arrangements and litigation avoidance, and represents clients in merger transactions and asset and stock acquisition agreements.
In the real estate area, Fred advises clients on commercial leasing and financing matters.
