Jason's practice is focused primarily in the areas of investor activism, securities law, mergers and acquisitions and general corporate law. He provides counsel to clients on equity investments in public companies and has experience providing strategic guidance to investors and public and private companies and their boards of directors on proxy contests, consent solicitations, letter-writing campaigns, tender offers and hostile takeovers. Additionally, Jason represents hedge funds and other large investors in the preparation of SEC filings, including Schedule 13D, Schedule G, Form 13F and Form 13H filings, as well as reporting requirements and compliance with Section 16 of the Securities Exchange Act of 1934. Jason also represents public and private companies in mergers and acquisitions and asset purchase and stock purchase transactions.
